License Agreement (EULA)
Key points in brief
- This Agreement sets the rules for using all Westernpips software: Westernpips Private 7, its algorithms and connectors, WP Fast Sources, Westernpips WebClick, the Strategy Back Tester and their updates.
- The License Agreement, the Client Agreement and the Risk Warning must be signed electronically before purchase in your account at my.westernpips.com. Signed copies are e-mailed to you and to Westernpips.
- You receive a personal, non-exclusive licence. The software is not sold to you: Westernpips keeps all rights to it.
- One licence = one computer or VPS. The number of licences and the components included depend on your plan and subscriptions (see the Client Agreement).
- You may not copy, resell, share, crack, decompile or modify the software, or use it for unlawful purposes.
- Westernpips is a software developer, not a broker or investment adviser. We do not test or recommend brokers and do not provide profitable settings. You choose your broker and settings and you trade at your own risk.
- Your account data and all connection data you enter (broker logins and passwords, API keys, FIX and ITCH credentials) are stored encrypted on our server. This is a condition of using the software. Westernpips is not liable for losses caused by hacking or theft of this data, to the maximum extent permitted by law.
- The licence can be suspended or terminated if you breach this Agreement.

Introduction
This End-User License Agreement (the “Agreement”) is a legal agreement between you and Westernpips (“Westernpips,” “we,” “us” or “our”). It governs your installation and use of the Westernpips Software. Please read it carefully before you install or use the Software.
Westernpips is a software development company. We do not provide financial, investment, brokerage or trading services, we do not open or manage trading accounts and we do not hold client funds.
Risk warning: trading Forex, CFDs and cryptocurrencies, especially with leverage, involves a high risk of losing money quickly. Before using the Software, read the Risk Warning.
1. Definitions
1.1 Software means the software developed by Westernpips and made available to you under a licence, including Westernpips Private 7 (WP7) with its trading connectors and algorithms, WP Fast Sources, the subscription algorithms, the Strategy Back Tester, the Analyzer, Westernpips WebClick, their installers, updates, new versions, documentation and related online services.
1.2 Licence means the right to use the Software granted under section 3 of this Agreement.
1.3 Plan means the tariff plan you purchase (WP Silver, WP Gold or WP Platinum) and Subscription means a paid monthly service, such as WP Fast Sources or the subscription algorithms, as described in the Client Agreement.
1.4 Device means one computer or one VPS (VDS) server on which the Software is installed and to which a Licence is linked.
1.5 User Account means your account at my.westernpips.com or in the Software, protected by your login and password.
1.6 Financial Institution means a broker, exchange, liquidity provider, bank or other third party that provides you with trading, brokerage, market data or similar services.
1.7 Documentation means the user guides, manuals and other materials published at docs.westernpips.com or otherwise provided by Westernpips.
1.8 You means the person or legal entity that accepts this Agreement and uses the Software.
2. Acceptance of this Agreement
2.1 Before purchase, you must sign the License Agreement, the Client Agreement and the Risk Warning electronically (Adobe Acrobat Sign) in your account at my.westernpips.com. A copy of each signed document is sent automatically by e-mail to you and to Westernpips. Westernpips does not accept payment and does not activate a licence until all three documents are signed.
2.1.1 By signing this Agreement, and also by installing or using the Software, you accept this Agreement. If you do not agree with this Agreement, do not sign it, and do not install or use the Software.
2.2 You confirm that you are at least 18 years old and have the legal capacity to enter into this Agreement. If you accept this Agreement on behalf of a company, you confirm that you are authorised to bind that company, and “you” then also means that company.
2.3 You agree to the use of electronic signatures, electronic communications and electronic records in connection with this Agreement, to the extent permitted by applicable law.
2.4 This Agreement applies together with the Client Agreement (terms of sale), the Risk Warning and the Privacy Policy.
2.5 Do not download, install or use the Software if its use is prohibited by the laws of your country.
3. Licence grant
3.1 Subject to this Agreement and to full payment for your Plan, Westernpips grants you a personal, worldwide, non-exclusive, non-transferable and non-sublicensable licence to install and use the Software for your own trading through Financial Institutions with which you have your own agreements.
3.2 The Software is licensed, not sold. You receive only the rights expressly granted in this Agreement.
3.3 Each Licence may be used on one Device at a time. The number of Licences and the components available to you depend on your Plan and your active Subscriptions, as set out in the Client Agreement.
3.4 The Licence for Westernpips Private 7 has no expiry date (lifetime licence), unless it is terminated under section 9. Subscription components can be used only while the Subscription is active.
3.5 At your request, Westernpips will move a Licence to a new Device, for example when you change your VPS or its IP address, free of charge.
3.6 A Licence may be used by another person only where the Client Agreement expressly allows it (the second licence of the WP Platinum plan). That person must accept this Agreement before using the Software, and you remain responsible for that Licence.
4. Restrictions
Unless Westernpips gives you prior written permission, you must not:
- sell, resell, rent, lease, lend, sublicense, publish or otherwise make the Software or your Licence available to third parties;
- use the Software on more Devices than you have Licences for, or share your User Account or licence key;
- copy the Software, except for installing it on your licensed Devices and making a backup copy;
- modify, translate, decompile, disassemble, reverse engineer or create derivative works from the Software, or try to obtain its source code, except to the extent that applicable law expressly allows this;
- remove, bypass or disable any licence check, copy protection or security measure, or use cracked or modified versions of the Software;
- gain or try to gain unauthorised access to Westernpips servers, databases, network protocols or other users’ accounts, or interfere with the operation of the Software or its services;
- remove or change copyright, trademark or other notices in the Software or the Documentation;
- use the Software in breach of any applicable law or regulation, or for fraud, market manipulation or other unlawful purposes;
- use the Software to build or train a competing product.
5. Your account, credentials and data security
5.1 You are responsible for keeping your User Account login, password and licence details confidential and for all activity carried out with them. Tell us immediately if you suspect unauthorised access.
5.2 Data stored on our server. To provide its functions, the Software sends to the Westernpips server and stores in our database: your IP address; your User Account e-mail, login and password; and all connection data you enter in the Software, including logins, passwords and server names of your broker and exchange accounts, API keys and secrets, and FIX, ITCH and other connection credentials and settings. This data is stored in encrypted form and transmitted over encrypted connections. Details are set out in the Privacy Policy.
5.3 A condition of use. Storing this data on the Westernpips server is a necessary condition for using the Software. If you do not want your credentials and connection data to be transmitted to and stored on our server, do not enter them and do not use the Software.
5.4 No liability for unauthorised access. Westernpips takes reasonable technical and organisational measures to protect this data, but no server, network or encryption is completely secure. To the maximum extent permitted by applicable law, Westernpips is not liable for any losses or damages arising from hacking, cyber-attacks, unauthorised access to, theft, disclosure, alteration or loss of your data, whether on our servers, the servers of our hosting and service providers, the internet or your own devices, including trades, withdrawals, transfers or other actions carried out on your accounts by third parties using such data. You enter your credentials and connection data at your own risk.
5.5 Your security measures. To reduce this risk, you agree to: use passwords for your trading accounts that you do not use anywhere else; where your broker or exchange allows it, use API keys and accounts with trading rights only, without withdrawal or transfer rights, and with IP address restrictions; enable two-factor authentication and withdrawal protection at your broker or exchange; keep on your trading accounts only the funds you need for trading; and immediately change your passwords and revoke your API keys if you suspect unauthorised access or stop using the Software.
5.6 If Westernpips becomes aware of a security incident affecting your data, we will take reasonable steps to contain it and will notify you where required by applicable law.
5.7 The Software needs a stable internet connection. It uses the resources of your Device, such as processor, memory and network, to provide its functions. You are responsible for your Device, its operating system, security and internet costs.
6. Brokers and other third parties
6.1 The Software connects to trading servers, data feeds and services of Financial Institutions and other third parties. You choose these parties, enter into your own agreements with them and comply with their terms, including any rules on high-frequency or latency arbitrage trading.
6.2 Westernpips does not control and is not responsible for any Financial Institution, VPS provider or other third party, their services, prices, order execution, trading conditions, account decisions or availability.
6.3 Third-party software or components included in or used with the Software may be subject to their own licence terms.
7. Updates and support
7.1 Westernpips may release updates, fixes and new versions of the Software. Updates within your Plan are provided free of charge. Some updates may be installed automatically or may be required to keep using the Software, for example for compatibility or security.
7.2 Westernpips may change, add or remove features, connectors or supported brokers, for example when a third party changes its platform or terms. We will try to keep the main functions of your Plan available, but we cannot guarantee compatibility with any specific broker or third-party platform.
7.3 Technical support is provided as described in the Client Agreement.
8. Intellectual property and trademarks
8.1 The Software, the Documentation, the Westernpips websites and their content, including code, designs, texts, images and videos, are protected by copyright and other intellectual property laws and belong to Westernpips or its licensors. Nothing in this Agreement transfers these rights to you.
8.2 Westernpips® is a trademark registered in the United States. “Westernpips Private 7”, the Westernpips logo and other product names are trademarks of Westernpips. You may not use them in a way that suggests that your product, service or website is made, endorsed or approved by Westernpips, or in domain names, company names or advertising, without our prior written permission.
8.3 You may refer to Westernpips products by name to describe them truthfully, for example in a review, and you may publish unaltered screenshots of the Software for informational purposes.
8.4 If you send us ideas or suggestions about the Software, we may use them without any obligation to you.
9. Suspension and termination
9.1 This Agreement remains in force until it is terminated. You may terminate it at any time by uninstalling the Software and stopping its use.
9.2 Westernpips may suspend or terminate your Licence, Subscriptions and access to the User Account, with notice where reasonably possible, if you materially breach this Agreement or the Client Agreement, use the Software unlawfully or fraudulently, share or resell your Licence, attempt to bypass licence protection, or if this is required by law.
9.3 Westernpips may also temporarily suspend services for maintenance, security or repair.
9.4 If the Licence is terminated because of your breach, fees already paid are not refunded, unless applicable law requires otherwise.
9.5 After termination you must stop using the Software and delete it from all your Devices. Sections 4, 5.4, 8, 10, 11, 12, 13, 15 and 16 continue to apply after termination.
10. No investment advice, trading risk
10.1 The Software is a technical tool. Nothing in the Software, the Documentation, our websites or communications from our team is investment, financial, legal or tax advice or an offer to buy or sell any financial instrument.
10.2 Westernpips licenses only software that compares quotes and trades automatically according to algorithms and settings chosen by you at your own discretion and based on your own experience. Westernpips does not test brokers for you, does not recommend brokers and does not provide lists of brokers, accounts or settings that are guaranteed to work or to be profitable.
10.3 The Software opens and closes trades according to the settings you choose. You are solely responsible for your settings, your trading decisions and their results. We strongly recommend testing the Software and every new setting on a demo account first.
10.4 Trading involves a high risk of loss. Results shown on our websites, back-tests and demo results do not guarantee future results. See the Risk Warning.
11. Disclaimer of warranties
11.1 To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available”. Westernpips makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Software will be uninterrupted, error-free or compatible with every broker or platform.
11.2 Westernpips does not warrant that the use of the Software will result in any profit or prevent any loss.
12. Limitation of liability
12.1 To the maximum extent permitted by applicable law, Westernpips is not liable for any trading losses, lost profits, lost income, loss of data or any indirect, incidental, special or consequential damages arising from the use of or inability to use the Software, including damages caused by:
- your settings, trading decisions or failure to follow the Documentation;
- the actions, failures or terms of brokers, exchanges, data providers, VPS providers or other third parties;
- internet, hardware, power or other technical failures outside our reasonable control;
- hacking, cyber-attacks or unauthorised access to your data or accounts, as described in section 5.4;
- suspension or termination of the Licence in accordance with this Agreement.
12.2 To the maximum extent permitted by applicable law, the total liability of Westernpips under this Agreement and the Client Agreement is limited to the amount you paid to Westernpips for the relevant Plan or Subscription in the 12 months before the claim arose.
12.3 Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud.
13. Indemnification
To the extent permitted by applicable law, you agree to compensate Westernpips for losses, claims and reasonable costs, including legal fees, arising from your breach of this Agreement, your unlawful use of the Software or your violation of the rights of a third party.
14. Changes to this Agreement
14.1 Westernpips may update this Agreement, for example when the Software, our services or the law change. The current version and its effective date are published on this page.
14.2 We will inform you of material changes by e-mail, in your User Account or in the Software. Changes apply from the effective date of the new version. If you do not agree with the new version, you must stop using the Software; changes do not affect fees you have already paid.
15. Applicable law and disputes
15.1 Nothing in this Agreement limits any rights you have under the mandatory consumer protection laws of your country of residence.
15.2 If you have a complaint, please contact our support team first at [email protected]. We will try to resolve the matter amicably within a reasonable time.
16. General provisions
16.1 Entire agreement. This Agreement, together with the Client Agreement, the Risk Warning and the Privacy Policy, is the entire agreement between you and Westernpips about the Software and replaces all earlier versions. If this Agreement and the Client Agreement conflict on matters of price, payment, plans or refunds, the Client Agreement applies.
16.2 Severability. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions stay in effect.
16.3 No waiver. A failure or delay in exercising a right does not mean that the right is waived.
16.4 Assignment. You may not transfer your rights under this Agreement without our written consent. Westernpips may transfer its rights and obligations, for example to a successor company, provided your rights under this Agreement are not reduced.
16.5 Language. This Agreement is made in English. If a translation differs from the English version, the English version applies.
16.6 Force majeure. Westernpips is not responsible for delays or failures caused by events beyond its reasonable control.
